PNB Board of Directors approved and confirmed the property dividend declaration of up to 239,353,710 common shares of PNB Holdings Corporation (“PNBPD") with a par value of P100 per share, to all stockholders of record as of May 18, 2021.
The property dividend shall be paid at a ratio of 0.156886919 shares of PNBPD for every 1 share of PNB. In case a stockholder is entitled to a fractional PNBPD share, PNB shall pay for such fraction in cash based on par value.
For entitled shareholders, to receive PNB's property dividend kindly follow the steps below:

| Receiving PNB Property Dividend | PNB will give a PNBPD stock certificate to COL for safekeeping. Should PNBPD list/trade with the PSE, then COL will then do the necessary process to convert the shares into electronic shares for entitled PNB shareholders. |
For Entitled Shareholders who will receive Fractional PNBHC shares
To receive the cash value of your fractional PNBPD shares in the future, you would need to pay for the withholding tax due. We will be able to credit the cash value of your fractional shares once PNBPD is listed and tradeable.
