Filinvest Land, Inc. (“the Company”) is conducting a tender offer to reacquire to up to 1,866,000,000 (7.69%) issued and outstanding common shares of FLI from shareholders of the company.
A stockholder who wishes to tender his/ her FLI (Filinvest Land, Inc.) common shares will receive FILRT (Filinvest REIT Corp.) shares in exchange with a ratio of 0.32 FILRT shares for every 1 FLI share tendered. No fractional shares will be issued, thus, the equivalent FILRT shares to be received will be rounded down to the nearest whole share.

- The purpose of this voluntary tender offer by Filinvest Land, Inc. is for Share Buyback purposes which will result in additional treasury shares for FLI. The Company (Issuer) has no plans to delist FLI from the PSE.

In the event that the total tendered shares exceeds the cap of 1.87 Bil shares, tendered shares will most likely be prorated and the unaccepted tender shares, as applicable, shall be returned to the tendering shareholder.
